DEAL OF THE YEAR
Joint venture and disposal of a majority stake in a Mauritian-based premier exporter of high quality roses in Kenya to a major African private markets investment firm. This deal won the 2021 DealMakers East Africa Private Equity Deal of the Year Award.
SOLAR ENERGY LOAN
USD3-million senior secured credit facility loan from a European development finance institution to a German solar energy company which leases movable solar power-producing equipment to commercial and industrial off-takers in sub-Saharan Africa, including Kenya and Ghana.
FINTECH VENTURE CAPITAL
Provision of advice to Africa’s largest fintech company regarding restructuring its venture fund into a fully-fledged venture capital fund which will invest in technology start-ups. Our advice has included reviewing existing agreements and securities for investees which provide technology-driven solutions in the payments, e-commerce, fintech and agritech spaces.
DISPOSAL OF HOTELS
Disposal of a substantial East African hotels portfolio in Kenya and Tanzania by a major African hospitality company.
AGRITECH SOLUTIONS
Advice provided to a Kenyan agritech firm re its groundbreaking artificial intelligence-based crop harvest prediction solution, including intellectual property, contracts and revenue share modelling.
HEALTHCARE LOAN
USD12-million loan from a European development finance institution to a Mauritius-based pharmaceutical chain to finance its expansion of pharmacies throughout Africa.
DIGITAL PAYMENT SOLUTIONS
Provision of contract and regulatory advice to a joint venture business between two African telecommunications giants, with the aim of promoting the use of digital payments solutions in sub-Saharan Africa, including a contract with a Chinese telecommunications equipment provider.
EXIT FROM JOINT VENTURE
Exit by a large American agricultural firm from a joint venture with a leading East African FMCG manufacturer relating to the animal feed sector in Kenya.
EUR370-MILLION CONTRACTS
Drafting, review and negotiation of complex and sophisticated technology, fintech, network and infrastructure contracts worth EUR370-million and spanning Kenya, Ethiopia, South Africa, Finland, India and the United Kingdom, for an African telecommunications giant, as well as intellectual property advice, including trademarks, websites and domain names, in relation to a new telecommunications company in Ethiopia.
FINTECH EXPANSION
Establishment of a local presence in Kenya by a Latvian finance group which builds IT ecosystems for the financial industry, including obtaining a digital creditors’ licence from the Central Bank of Kenya to enable a roll out of their products in Kenya.
