Somila Dondashe is an Associate at ENS in the Banking and Finance practice.
Somila specialises in debt and equity funding, preference share funding, corporate commercial transactions and commercial real estate transactions. Somila prides herself in her meticulous handling of matters from the inception of a matter to financial close, ensuring an orderly closing.
Her experience includes advising on debt and equity financing, corporate commercial transactions and property funding transactions. Somila has also been exposed to finance deals in sectors such as private equity, venture capital, and the corporate finance sector. She has been exposed to exciting property funding, sustainability-linked finance and start-up funding matters and has grown a particular interest in preference share funding.
In addition, Somila acts for various funders (including local and international banks and institutional investors), borrowers and issuers (listed and unlisted) and regulated financial sector participants.
She assists clients in navigating the commercial, legal and regulatory considerations inherent in syndicated loans, secured and unsecured debt and structured finance transaction, ensuring that these transactions are optimised for both compliance and business objectives.
In the area of preference share funding, she is acquiring knowledge on the structuring and issuance of preference shares, the balancing of the interests of equity holders and creditors. She is skilled in drafting and negotiating terms that address dividend rights, redemption features, and other key provisions that are essential in preference share funding.
