Elie Nshimiyimana
practical experience
Elie Nshimiyimana is an Associate at ENS in Rwanda.
His areas of practice encompass general corporate commercial law, M&As and corporate restructuring, corporate finance, project development and financing of EMI projects, tax, TMT, Fintech, asset management, real estate, data privacy and protection, contracts, and employment law.
Elie has extensive experience in assisting and advising on multi-million and cross-border mergers, acquisitions, and restructuring transactions involving companies across different sectors, including telecommunications, aviation, renewable energy, and private security. In these transactions, he has been extensively involved in conducting legal due diligence investigations on target entities, reviewing transaction documents, attending to regulatory issues, providing general advice in respect of the transactions, and deal-closing aspects, including advising on merger control aspects of the transactions at both local and regional (specifically COMESA) levels.
He has also assisted on major on- and off-balance sheet financing transactions involving DFIs, MFIs, local commercial and development banks, renewable energy SPVs, telecom companies, among others. His involvement in corporate and project financing has primarily covered legal due diligence on project companies and their sponsors, reviewing and drafting project and finance documents, advising on security structuring issues and drafting security documentation, issuing legal opinions, and collecting relevant CPs.
Elie’s expertise extends to advising and assisting new and existing clients on the requirements for entering the Rwandan market, business registration and regulatory matters, compliance obligations, tax structuring and incentives, real estate matters (including land ownership regulations for foreigners in Rwanda), data protection, government partnerships, employment issues, agreements with the government, as well as foreign currency, exchange controls, and foreign investment.
