Witness Makhubele
practical experience
Witness Makhubele is an Executive at ENS in the Corporate Commercial practice and specialises in corporate and commercial law, with particular focus on take-overs, mergers and acquisitions, equity capital markets (including securities dealings, initial public offerings, JSE listings, rights offers/equity capital raisings), schemes of arrangement, corporate restructuring, unbundling, shareholder arrangements, joint ventures, advising on regulatory aspects in respect of transactions requiring the approval or involvement of the JSE, Takeover Regulation Panel, South African Reserve Bank, the Financial Sector Conduct Authority and the B-BBEE Commission. Witness’s practice also involve general corporate, commercial and contract law.
Witness is an expert in broad-based black economic empowerment (B-BBEE) advisory, regulatory and compliance, including strategic planning, as well as structuring, implementing and advising on transactions across a wide variety of industries in accordance with the B-BBEE legislation.
Witness also has experience in advising on corporate governance aspects of companies and other juristic persons as well as drafting and advising on board and committees policies, charters and terms of reference. He has experience and has been involved in the establishment of trusts and social entrepreneurships (such as NPOs / NGOs) and drafting of trust deeds and constitutional documents for social entrepreneurships (such as NPOs / NGOs).
He has acted for some of the major South African institutions, such as banks, mining companies as well as state-owned entities and he has been involved in major local and cross-border transactions for local and international clients.
