Vanessa van Coppenhagen is an executive at ENSafrica in the corporate commercial department. She specialises in M&A, disposals, corporate reorganisation and restructuring, empowerment transactions, listings and corporate governance. She also specialises in negotiating, structuring and drafting agreements for various transactions relating to intellectual property.
She has represented major corporations, primarily in the mining sector.
Vanessa’s experience includes drafting and reviewing shareholder agreements, trust deeds, joint venture agreements, board committee terms of reference, put and call option agreements, management or operator agreements, sales agency and marketing agreements, offtake agreements, supply agreements, service agreements, as well as infrastructure relocation agreements. She also has experience in drafting and reviewing intellectual property development licensing and commercialisation agreements and advising on proprietary confidential information, unlawful competition, and exchange control approval applications for intellectual property disposals offshore. In addition, she has experience in the media and entertainment sectors, including film and television production, distribution, licensing and exploitation, television format rights and legal aspects of reality television programming, media content compliance, book publishing, music rights, performers’ rights, image rights, merchandising and sponsorship.
She has co-authored South Africa’s contribution to the United Nation’s and Harvard University Corporate Law Tools Project with Professor Michael Katz, which deals with the Mandate of the Special Representative of the Secretary-General (SRSG) on the issue of Human Rights and Transnational Corporations and other Business Enterprises. She has also contributed to the South African chapter of a book relating to corporate law, together with Professor Michael Katz. She has also contributed a chapter on Entertainment Law in The Law of South Africa. Vanessa has written an article on Copyright Valuation which is published in The South African Mercantile Law Journal, an article on Multimedia Works as Cinematograph Films which is published in The South African Law Journal and an article entitled “Copyright and the WIPO Copyright Treaty, with specific reference to the rights applicable in a digital environment and the protection of technological measures" which was published in The South African Law Journal. She has lectured intellectual property law part time at the University of the Witwatersrand and has presented guest lectures at the University of the Witwatersrand, the University of Johannesburg and at the South African School of Motion Picture Medium and Live Performance (AFDA) on the subject of intellectual property law.
