Tiaan de Wit is an Executive in ENSafrica’s Corporate Commercial department, specialising in M&A and equity capital markets (“ECM”).
Tiaan acts for clients in various industries, including clients operating in the private equity, commercial real estate, agri-business, retail, transport, liquor, gambling and betting, financial services and tourism industries.
He regularly advises on South African legislation, including the South African Companies Act and Takeover Regulations, the Financial Markets Act, the Consumer Protection Act, the various provincial gambling acts, as well as the Johannesburg Stock Exchange (“JSE”) Listings Requirements and the King IV Report on Corporate Governance.
Tiaan has advised a number of clients with regard to major corporate actions, including various unbundlings, rights issues, capital raisings, initial public offerings and numerous listings on the Main Board of the JSE. Tiaan has experience in corporate reorganisations and leading legal due diligence investigations in respect of a number of M&A transactions.
He has extensive experience relating to the structuring of, and regulatory requirements pertaining to, share incentive plans and arrangements in South Africa for listed and unlisted clients. He also regularly advises multinational entities on the South African compliance requirements related to multi-jurisdictional share plans operated by foreign companies. In addition, Tiaan advises on the regulatory requirements applicable to gambling and betting businesses.
Tiaan is a member of a dedicated ENSafrica team specialising in the commercial, financial, legal, tax and regulatory aspects relevant to employee and management remuneration, benefits and incentives. This team services blue chip South African corporates in the listed and unlisted space, designing and implementing incentive plans to achieve their desired commercial outcomes. The team also advises numerous international specialised services and law firms on an ad hoc and annual basis in relation to their multinational clients operating incentive plans across the African continent.
