Carine Pick is an Executive in ENSafrica’s corporate commercial practice.
She has acted for private and listed companies (local and international) across a diverse range of industries, which include, but not limited to, retail, pharmaceutical and telecommunications, relating to M&A, corporate structuring and restructures and general corporate commercial law.
Carine has deep expertise in all aspects of private equity, including fund formation, legal due diligence in anticipation of acquisitions by PE funds of portfolio companies, portfolio and investment structuring, regulatory approvals, management incentives, recapitalisations following on altered investment horizons or other changed circumstances, disposal of portfolio companies, IPO’s and other exit strategies.
Carine is experienced in drafting and negotiating complex and bespoke commercial transaction agreements including ancillary documents (such as, but not limited to, MOIs, shareholders’ agreements, term sheets, binding offers, repurchase agreements, subscription agreements, asset for share agreements), conducting and coordinating large and small due diligence investigations together with the preparation of due diligence reports, and assisting with implementation and execution of deals across various jurisdictions, as well as advising on aspects of the South African Companies Act, 2008 and corporate governance.
Carine has worked on several complex and significant deals during her time at ENSafrica and notable transactions include advising (i) Ascendis Health Limited on the disposal of the Ascendis Animal Health business, which transaction was awarded Dealmakers South Africa PE Deal of the Year 2021 and (ii) Vodacom Group Limited on the acquisition of a 55% interest in Vodacom Egypt Telecommunications S.A.E, which transaction was awarded Dealmakers South Africa Brunswick Deal of the Year 2021.
